Ongoing Services:

For ongoing services, the Client shall pay the Company the agreed-upon price listed per month for the services provided under this agreement. Payment is due on the 1st or 15th of each month, depending on the onboarding period. The Company will issue an invoice to the Client for the services provided.

In the event an invoice is unpaid 7 days past due, the Company reserves the right to charge additional late fees and penalties, with notification given to the Client.

Pricing is based on the current scope of work. If additional services are needed or there is a significant change in the scope of work, One Source Branding & Media reserves the right to adjust the pricing. No adjustments will be made without prior notification and discussion with the Client.

One-Time Projects:

For one-time projects, the Client shall pay the Company the price quoted for the services provided as outlined in the detailed quote or project proposal. Payment is due upon completion of the project, or as otherwise agreed upon in writing by both parties.

The Company reserves the right to require an upfront deposit of up to 50% of the quoted price at its discretion. The remaining balance is due upon project completion unless otherwise stated in the project quote or proposal.

Like ongoing services, if an invoice for a one-time project is not paid within 7 days of issuance, the Company reserves the right to charge additional late fees and penalties, with notice given to the Client.

Pricing for one-time projects is based on the scope of work agreed upon in the project proposal. If additional services are required, or if there is a major change in the scope of work during the project, then One Source Branding & Media reserves the right to adjust pricing. No adjustments will be made without prior notification and a discussion with the Client.

"Project Completion" refers to the date when the final services agreed upon in the project proposal are provided to the Client or when the project is otherwise declared complete by both parties in writing.

The company has the right to charge additional late fees and penalties once an invoice is 7 days late with a notice in the event the services are not pre-paid for or paid on time by the client. Pricing is based on the current scope of work. In the event, that additional services are required or there is a major change in the scope of work, then One Source Branding & Media reserves the right to adjust our pricing. No pricing adjustments will be made without notification and a discussion with the client.

This service requires a minimum of 120 days. After the 120 days is complete, the client may cancel at any time. The client agrees to give One Source Branding a 45-day notice prior to canceling marketing services. The client agrees to give required access to One Source Branding & Media to complete its work. One Source Branding & Media will use its best efforts to continue providing services for the final 45 days.

Ongoing Services:

This service requires a minimum commitment of 120 days. After the completion of the 120 days, the Client may cancel at any time, provided that they give One Source Branding & Media a 45-day notice prior to cancelling marketing services. The Client agrees to provide the necessary access to One Source Branding & Media to complete its work. One Source Branding & Media will use its best efforts to continue providing services for the final 30 days.

One-Time Projects:

For one-time projects, the timeline will be defined as per the detailed quote or project proposal. The Client agrees to provide the necessary access to One Source Branding & Media to complete its work.

In the event that the Client does not provide necessary feedback or direction for a period of 2 weeks, the Company may pause the project. To restart the project, the Client must pay the remaining 50% of the project cost, and anticipate a delay of 1-2 weeks before project work can resume.

The Client has the right to cancel the project at any time. If the project is cancelled before completion, the Client will still be liable for the payment of any work already completed, and any work necessary to bring the project to a close.

"Project Completion" refers to the date when the final services agreed upon in the project proposal are delivered to the Client, or when the project is otherwise declared complete by both parties in writing.

If the client fails to comply with the terms of this agreement and One Source Branding & Media refers the matter to an attorney, the client agrees to pay reasonable attorney fees and agrees to compensate One Source Branding & Media for other collection costs and expenses it may occur.

The parties acknowledge that in the course of performing the services under this agreement, they may have access to confidential information of the other party. The parties shall keep all such confidential information confidential and shall not disclose it to any third party, except as required by law.

The company warrants that the services provided under this agreement shall be performed in a professional and workmanlike manner. The client agrees to indemnify and hold the company, owners, employees, and contractors harmless from any and all claims, damages, and expenses arising from any breach of this agreement by the client.

One Source Branding & Media cannot guarantee results because the internet is not owned or controlled by any one entity. We will make every effort to ensure the client's digital marketing is successful and generates leads. One Source Branding & Media is not liable for any damages resulting from the operation or inability to operate digital marketing services or websites, even if we were advised of the possibility of such damages.

Ongoing Services:

Upon full completion of the agreed-upon terms for ongoing services (minimum of 120 days), the Client will retain the rights to all property that has been designed and transferred by One Source, such as websites, social media accounts, Google accounts, designs, and any other work that was directly paid for and delivered by One Source Branding & Media.

In the event that the Client does not complete the 120-day commitment but wishes to retain the complimentary website that was offered as part of the package, the Client must pay the difference in cost for the website.

One Source Branding & Media or its partners retain the intellectual rights to all tools and software required for the job by One Source Branding & Media/partner. The Client retains the rights to all deliverables that are not marked as One Source Branding & Media tools and software.

One-Time Projects:

For one-time projects, upon completion and full payment of the project, the Client will retain the rights to all property that has been designed and transferred by One Source, such as websites, social media accounts, Google accounts, designs, and any other work that was directly paid for and delivered by One Source Branding & Media.

One Source Branding & Media or its partners retain the intellectual rights to all tools and software required for the job by One Source Branding & Media/partner. The Client retains the rights to all deliverables that are not marked as One Source Branding & Media tools and software.

Client agrees to allow One Source Branding & Media to use client's names and websites for company promotions, online portfolios, past clients list, on social media, in print material, etc. for advertising and promoting One Source Branding & Media services to other companies. The client agrees to allow design credit on the footer of the website after completion.

If the client does not want design credits on a website completed by One Source Branding & Media, there is will be a $500 removal fee required. 

Any monthly marketing services will have a NO refund policy once services are rendered. Client also will not file a chargeback. The client will not, under any circumstances, issue or threaten to issue any chargebacks to the company or to the client's credit card and/or form of payment (ie, Stripe, PayPal) for any reason whatsoever related to services offered.

This agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of law principles.

Any legal action or proceeding arising under this agreement shall be brought in the courts of Seminole County, FL.

As our client, by utilizing One Source Branding & Media's AI services, you are agreeing to the integration of advanced AI technologies into your lead acquisition and nurturing processes. Our AI systems are tailored to analyze customer behaviors and interests, allowing for more effective communication and improved conversion rates. You will experience a service that includes: A detailed analysis of your business to align the AI with your unique requirements; Custom configuration of the AI to automate your workflows efficiently; A training and testing phase using your business data to fine-tune the AI's performance; Deployment of the AI in your operational setting, with continuous monitoring and optimization based on performance data.

By accepting these terms, you consent to our use of AI in your strategies and agree for our team to periodically review the system's alignment with your business needs and ethical standards. We ensure the confidentiality of your data, adherence to privacy laws, and welcome your feedback for ongoing service improvement. Please note, these terms are subject to regular reviews and updates, which will be communicated to you.

This agreement constitutes the entire agreement between the parties with respect to the services provided under this agreement and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
